Agreement to Terms

By downloading, installing, or using Metic ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Metic is operated by Metic ("we," "us," or "our").

Eligibility

You must be at least 18 years old to use Metic. If you are under 18, you may only use the App with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the App, you represent that you meet this age requirement or that you have obtained parental or guardian consent.

What Metic Does

Metic is a macOS application that provides real-time transcription and translation of audio. The App captures audio from your device's microphone, processes it through third-party speech recognition and translation services, and displays the results to you.

Your Use of Metic

You agree to:

• Use the App only for lawful purposes
• Ensure you have consent from all parties before recording or transcribing conversations where required by law
• Comply with all applicable local, state, national, and international laws regarding recording consent

You agree not to:

• Use the App to transcribe conversations without proper consent where required
• Use the App for any illegal, harmful, or fraudulent activity
• Attempt to reverse engineer, decompile, or disassemble the App
• Use the App in any way that could damage, disable, or impair our services
• Resell, sublicense, or redistribute the App

Important Disclaimers

Accuracy

Transcription and translation are not guaranteed to be accurate. The App relies on third-party AI services for speech recognition and translation, which may produce errors, especially with:

• Accents or dialects
• Background noise
• Technical or specialized vocabulary
• Uncommon languages or language pairs
• Fast speech or multiple speakers

Do not rely on Metic for critical, legal, medical, or safety-related transcription. Always verify important content independently.

Availability

We do not guarantee that the App will be available at all times. Service may be interrupted due to maintenance, updates, or factors outside our control, including third-party service outages.

Third-Party Services

Metic uses third-party services for speech-to-text transcription and translation. Your use of the App is also subject to the terms and policies of these third-party providers. We are not responsible for the performance, accuracy, or availability of third-party services.

Intellectual Property

Our Rights

The App, including its design, code, features, and branding, is owned by Metic and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

Your Content

You retain ownership of any content you create using the App, including your transcriptions. We do not claim any ownership rights over your content.

Local Data Storage

Metic stores session data — including transcripts, translations, and speaker identification data — locally on your device. All session data is encrypted at rest. When speaker identification is enabled, temporary audio recordings are stored locally during your session and automatically deleted once processing is complete. Only the resulting text is permanently saved. You can review, export, and delete your local session data at any time from within the App.

Payments and Subscriptions

All payments and subscriptions are processed through Apple's App Store. By making a purchase:

• You agree to Apple's terms and conditions for in-app purchases
• Billing and refund requests are handled by Apple
• Subscription renewals are managed through your Apple ID settings
• We do not have access to your payment information

To cancel a subscription, manage it through your Apple ID account settings.

Credit-Based Usage

Metic uses a credit-based system to meter transcription and translation usage. Credits represent transcription time measured in seconds. Key aspects of the credit system:

• Each subscription tier includes a periodic allowance of credits (renewed weekly or monthly depending on your plan)
• Additional credits can be purchased as one-time top-ups through the App Store
• Subscription credits and top-up credits are tracked separately
• When all credits are exhausted, transcription and translation features will be paused until credits are renewed or purchased
• Unused subscription credits do not roll over to the next billing period; unused top-up credits do not expire

Limitation of Liability

To the maximum extent permitted by law:

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Errors or inaccuracies in transcription or translation
• Service interruptions or outages
• Any actions taken based on transcribed or translated content

Our total liability to you for any claims arising from your use of the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Metic and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights, including privacy or recording consent laws

Termination

We may suspend or terminate your access to the App at any time, for any reason, without notice. You may stop using the App at any time.

Upon termination:

• Your license to use the App ends immediately
• Provisions that should survive termination (such as limitations of liability and indemnification) will remain in effect

Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. Continued use of the App after changes constitutes acceptance of the new Terms.

For significant changes, we may notify you through the App or via email.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall be resolved in the courts located in Delaware.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Metic regarding your use of the App.
